Opening a corporate account

The client is to complete the Corporate application form (Completed and signed by the authorised individual).

Opening a corporate account under an investment manager requires the following documentation:

  • Corporate application form (Completed and signed by the authorised individual, unless the investment manager has a discretionary agreement with the client and the appropriate resolutions are in place with DMA).
  • Power of Attorney (Signed by the authorised individual and a signatory of the investment manager).
  • Cover Letter indicating brokerage profile, money manager fee and house structure (if relevant).
Supporting KYC Documentation for South African corporates (whether the account is being opened under an investment manager or directly as a retail client)
  • CIPC (most recent)
  • Entity organogram reflecting all shareholders with 5% or more voting rights adding up to 100% at each level (Signed by director or company secretary).
  • Resolution/Signatory Rules identifying those individual persons authorised to act on behalf of the entity
  • South African Identity Document/card (both pages/sides) for all Directors, Shareholders, Authorised Persons – A copy of valid passport for all non-South African Directors and Shareholders
  • Proof of operating address if business address and registered address are different

Supporting KYC Documentation for foreign corporates (whether the account is being opened under an investment manager or directly as a retail client). These documents must be certified by a commissioner of oaths/notarised by a notary public.
  • Certificate of Incorporation
  • Change of name documentation (if applicable)
  • Memorandum of Incorporation / Memorandum & Articles of Association / Constitution (if applicable)
  • Register of Directors
  • Register of Shareholders (reflecting all shareholders with 20% or more of the voting rights)
  • Entity organogram for complex structures reflecting all shareholders with 5% or more voting rights adding up to 100% at each level (Signed by director or company secretary).
  • Resolution/Signatory Rules identifying those individual persons authorised to act on behalf of the entity
  • South African Barcoded Identity Document/card (both pages/sides) for all Directors, Shareholders, Authorised Persons – A copy of valid passport for all non-South African Directors and Shareholders
  • Utility bill as proof of residence for all Directors, Shareholders, Authorised Persons (dated in the last three months)
  • Utility bill proof of registered operating address/operating address if business address and registered address are different, if not specified in the company documents already listed
  • Proof of Banking Details in the name of the Applicant i.e. Bank Statement, or Letter from the Bank
